Question:<\/span><\/p>\n

I run a bakery and take orders. I usually take a down payment on orders. If a customer decides last-minute, after I have started or finished the order, that he doesn’t want the stuff then what, can I charge him? Can I keep the down payments? Keep in mind that it is a big loss to me.<\/span><\/p>\n

And if I didn’t get a down payment?<\/span><\/p>\n

And what to do with the ordered stuff?<\/span><\/p>\n

\u00a0<\/span><\/p>\n

Similarly a person selling chicken and someone orders but he didn’t come to collect, or came very late and says he wants fresh chicken not the ones that I have kept for him already. What can be done in this case because no one will want this frozen chicken? Can he charge something for this?<\/span><\/p>\n

\u00a0<\/span><\/p>\n

Answer:<\/strong><\/span><\/p>\n

In the Name of Allah, the Most Gracious, the Most Merciful.<\/strong><\/span><\/p>\n

As-sal\u0101mu \u2018alaykum wa-rahmatull\u0101hi wa-barak\u0101tuh<\/strong><\/span><\/p>\n

\u00a0<\/span><\/p>\n

The type of business contract you have described is termed \u201cBai’ Al-Istisna\u201d which is defined as a contractual agreement between a buyer and a seller to produce items with an agreed and specified description at a determined price, employing the efforts and resources of the seller.[1]<\/a><\/span><\/p>\n

This contractual agreement between the seller and the buyer and is not legally binding (mulzim qadha\u2019an<\/em>) on either party in its initial stage (i.e. before manufacturing), Meaning that, the seller is not legally obliged to fulfil his promise (i.e. to produce the items) nor is the customer legally obliged to fulfil his promise (i.e. he may cancel the contract and chose not to purchase the items).[2]<\/a><\/span><\/p>\n

\u00a0<\/span><\/p>\n

It should be noted that, even though the agreement may not be legally binding initially, it is definitely a religious obligation (mulzim diyanatan<\/em>) and therefore, the customer will be sinful if he breaks his promise without a legit reason.<\/span><\/p>\n

Allah Ta\u2019ala mentions in the Quran: \u0648\u0623\u0648\u0641\u0648\u0627 \u0628\u0627\u0644\u0639\u0647\u062f \u0625\u0630\u0627 \u0639\u0627\u0647\u062f\u062a\u0645\u00a0\u00a0\u00a0\u00a0 \u00a0\u00a0<\/span><\/p>\n

\u00a0<\/span><\/p>\n

And fulfil the promise, when you g<\/em>i<\/em>ve a promise\u2026[3]<\/strong><\/a><\/em><\/span><\/p>\n

\u00a0<\/span><\/p>\n

The Holy Prophet \ufdfa said that one of the signs of hypocrisy deliberately breaching ones promise.[4]<\/a><\/span><\/p>\n

\u00a0<\/span><\/p>\n

However if the seller has started or completed manufacturing the item, the contract cannot be cancelled except with the bilateral consent. The buyer cannot unilaterally terminate the contract.<\/span><\/p>\n

If the product was made according to the specifications and conformity of the buyer, then he does not have the right to reject or cancel the purchase. Failure to comply will cause the seller to incur great financial losses and difficulties since he exerted all his resources just to prepare the required goods. For this reason, the buyer is obligated to fulfil his end of the agreement and hence it would be legally binding on him to accept the goods he ordered.[5]<\/a><\/span><\/p>\n

\u00a0<\/span><\/p>\n

This is the stance of the International Islamic Fiqh Academy, Jeddah and also the Islamic Fiqh Academy, India, which comprises of some of the world’s most renowned Shariah Scholars.[6]<\/a><\/span><\/p>\n

\u00a0<\/span><\/p>\n

Based on the aforementioned, it would be permissible to keep the payments advanced by the customer if he decides to unilaterally cancel, as a compensation for losses incurred.[7]<\/a> If however, you were able to sell these goods and fully recover the anticipated losses, then the advanced payment will have to be returned.<\/span><\/p>\n

\u00a0<\/span><\/p>\n

NB <\/strong>– You are only allowed to claim compensation for losses, not because of reduced profits i.e. only the cost of the items (i.e. materials, labour, and allocated overheads.) will be considered.<\/span><\/p>\n

If the buyer unilaterally cancels and you were unable to sell the items then it is permissible to keep the entire advanced payment since it is equivalent to the total cost of production.<\/span><\/p>\n

\u00a0<\/span><\/p>\n

In an event where the buyer did not make any deposit or the deposit made was less than the total cost of production it will be legally binding upon him to compensate that amount equivalent to the cost of production.<\/span><\/p>\n

\u00a0<\/span><\/p>\n

\u00a0<\/span><\/p>\n

If however you were able to sell all these items or part of it to another party at a price of 500.00TTD or more, then it will not be permissible for you keep any part of the advanced payment because you have not incurred any loss.<\/span><\/p>\n

You may have suffered a low profit return, which however, will not be compensated for, since it is not considered a loss.<\/span><\/p>\n

\u00a0<\/span><\/p>\n

NB <\/strong>– If you have consented to the cancellation, even though unwillingly, you will have to return the entire advanced payment.<\/span><\/p>\n

\u00a0<\/span><\/p>\n

NB –<\/strong> The goods in question must be such that, it was produced solely for that particular customer and had he not ordered it, you would have never produced it. If the nature of the goods was not as such, the customer will not be liable for any losses, and payments will have to be returned.<\/span><\/p>\n

\u00a0<\/span><\/p>\n

We suggest that you stipulate to your customers and the beginning of each contract these terms and conditions as to avoid future conflicts.<\/span><\/p>\n
